These Terms & Conditions ("Terms") form a legally binding agreement between you and Cognisor / Cognisor AI ("Cognisor," "we," "us," or "our") governing your access to and use of www.cognisorai.com and related products and services, including AI tools, consulting offerings, events, workshops, hackathons, ticketing, invoicing, and online payments (collectively, the "Services").

By accessing or using the Services, creating an account, registering for an event, paying an invoice, or clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not use the Services.

1. Definitions

  • "You" / "User" means the individual or entity accessing or using the Services.
  • "Content" means text, images, video, audio, code, data, prompts, outputs, documentation, and other materials.
  • "User Content" means Content you submit, upload, or provide through the Services.
  • "Output" means Content generated by AI features in response to your inputs.
  • "Order" means a purchase of tickets, services, or other paid offerings, including invoices issued by Cognisor.

2. Acceptance and Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

You agree to comply with these Terms, our Privacy Policy, our Cookie Policy, and any additional guidelines or event-specific rules we publish.

3. The Services

Cognisor provides AI-related products and business services that may include software tools, consulting, custom development, educational content, community events, and payment/invoicing workflows. Features may change over time. We may add, modify, or discontinue any part of the Services with or without notice, subject to applicable law and any separate written contract you have with us.

Some Services require an account, payment, or eligibility criteria (for example, event capacity or geographic restrictions). We may refuse service, cancel Orders, or limit features where reasonably necessary for security, legal compliance, or operational reasons.

4. Accounts and Security

If you create an account, you agree to:

  • Provide accurate, complete, and current information
  • Maintain the confidentiality of your credentials
  • Accept responsibility for all activity under your account
  • Notify us promptly of any unauthorized access or security incident
  • Not share accounts or create accounts for others without permission

We may suspend or terminate accounts that violate these Terms, pose a security risk, or remain inactive for an extended period.

5. AI Tools, Inputs, and Outputs

AI features are provided for productivity, learning, and business assistance. You acknowledge that:

  • Outputs may be incorrect, incomplete, biased, or unsuitable for your purpose. You must review and validate Outputs before relying on them.
  • You are solely responsible for User Content you submit and for how you use Outputs, including compliance with laws, third-party rights, and professional standards (e.g., legal, medical, financial advice — Cognisor does not provide regulated professional advice unless expressly agreed in writing).
  • You must not input secrets, passwords, payment card data, or personal data of others unless you have lawful authority and it is necessary for the feature.
  • Cognisor and/or model providers may process inputs to generate Outputs and operate the Services. See our Privacy Policy for details.
  • Subject to these Terms and applicable law, as between you and Cognisor, you may use Outputs for your lawful purposes; Cognisor does not claim ownership of your original User Content. Cognisor retains all rights in the underlying models, software, prompts frameworks, and Services.
  • Outputs may not be unique; similar Output may be provided to other users. Cognisor does not guarantee exclusivity of Output.

6. Events, Tickets, Orders, and Payments

6.1 Events and tickets

Event descriptions, schedules, speakers, venues, and formats may change. We will use reasonable efforts to communicate material changes. Tickets are generally non-transferable unless we state otherwise. You must provide accurate attendee information and comply with venue and event rules.

6.2 Pricing and taxes

Prices are as displayed at checkout or on your invoice, unless a separate contract applies. Taxes, fees, and currency conversion charges may apply. We may update pricing prospectively; changes do not affect Orders already accepted unless required by law.

6.3 Payment processing

Payments may be processed by third parties such as Stripe and/or PayPal. By paying, you also agree to the applicable processor's terms. You authorize us and our processors to charge the selected payment method for amounts due.

6.4 Invoices

If Cognisor issues an invoice, payment is due by the stated due date. Late or failed payments may result in suspension of Services, cancellation of tickets, or collection activity as permitted by law.

6.5 Refunds and cancellations

Unless a specific refund policy is stated for a product, event, or written agreement, fees are generally non-refundable once processed. If an event is cancelled by Cognisor and not rescheduled, we will provide a refund or alternative remedy as described in the event materials or required by applicable law. Chargebacks filed without contacting us first may result in account restrictions.

6.6 Coupons and promotions

Promo codes and discounts are subject to stated conditions, may be limited in time or quantity, and may be modified or revoked if abused or issued in error.

7. Intellectual Property

The Services, including software, designs, trademarks, logos, branding, documentation, and all Cognisor Content (excluding User Content), are owned by Cognisor or its licensors and are protected by intellectual property laws. Except for the limited license below, no rights are transferred to you.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal personal or business purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Services except as expressly allowed by law or written agreement.

"Cognisor," "Cognisor AI," and related marks are trademarks of Cognisor. You may not use them without prior written permission.

8. User Content and License to Cognisor

You retain ownership of your User Content. By submitting User Content, you grant Cognisor a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, adapt, and display that Content as needed to operate, secure, and improve the Services and to fulfill your requests.

You represent and warrant that:

  • You own or have all rights necessary to submit the User Content and grant the license above
  • User Content does not infringe any third-party rights or violate any law
  • User Content is not unlawful, harmful, deceptive, or abusive

We may remove or restrict User Content that violates these Terms or creates legal or security risk.

9. Acceptable Use and Prohibited Conduct

You agree not to, and not to attempt to:

  • Violate any applicable law, regulation, or third-party right
  • Use the Services for fraud, spam, phishing, malware distribution, or illegal activities
  • Probe, scan, or attack our systems; bypass rate limits, access controls, or security measures
  • Scrape, harvest, or collect personal data of others without authorization
  • Impersonate Cognisor, our staff, or any person or entity
  • Interfere with or disrupt the Services or other users' enjoyment of them
  • Use AI features to create Content that is illegal, sexually exploitative of minors, or that facilitates violent harm
  • Misrepresent AI Outputs as human-created professional advice where disclosure or verification is required
  • Resell or sublicense the Services without written consent
  • Use automated bots except through documented APIs we expressly provide

10. Third-Party Services and Links

The Services may integrate with or link to third-party products (payment processors, authentication providers, AI model vendors, social platforms, maps, etc.). Third-party services are governed by their own terms and privacy policies. Cognisor is not responsible for third-party acts, omissions, or availability, except as required by law or a separate written agreement.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Cognisor does not warrant that the Services will be uninterrupted, secure, error-free, or that Content or Outputs will be accurate, complete, or current. You use the Services at your own risk.

Nothing in these Terms excludes liability that cannot be excluded under applicable law (including liability for fraud or certain consumer rights that cannot be waived).

12. Limitation of Liability

To the maximum extent permitted by law, Cognisor and its directors, officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Services, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Cognisor's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to Cognisor for the specific Service giving rise to the claim during the twelve (12) months before the claim, or (b) USD 100 (or equivalent).

13. Indemnification

You agree to defend, indemnify, and hold harmless Cognisor and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Services or Outputs; (c) your violation of these Terms; or (d) your violation of any law or third-party right.

14. Suspension and Termination

You may stop using the Services at any time. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or if continued provision creates risk to Cognisor or others. Upon termination, your license to use the Services ends. Sections that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will survive termination.

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes may also be communicated by email or in-product notice where appropriate. Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.

16. Governing Law and Disputes

These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Subject to mandatory consumer protections that may apply in your place of residence, the courts located in Tokyo, Japan shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.

Before filing a formal claim, you agree to contact us in good faith to attempt to resolve the dispute informally.

17. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, and any Order-specific or written contract terms, constitute the entire agreement between you and Cognisor regarding the Services.
  • Severability: If any provision is held unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure to enforce a provision is not a waiver of that provision.
  • Assignment: You may not assign these Terms without our consent. We may assign them in connection with a corporate transaction or reorganization.
  • Force majeure: We are not liable for delays or failures due to events beyond our reasonable control.
  • Language: These Terms are provided in English. If translated, the English version controls to the extent permitted by law.
  • Notices: We may provide notices via the Services, email, or by posting on the website. You may contact us using the details below.
